Terms & Conditions for Goals Inc. Fitness Accountability App

1. Agreement and Acceptance

Welcome to Goals! These Terms and Conditions ("Terms") create a legally binding agreement between you ("User," "you," or "your") and Goals Inc., a Delaware corporation ("Goals," "we," "us," or "our"). By downloading, installing, accessing, or using the Goals mobile application ("App"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or on our website at goalsapp.co. Your continued use of the App after any changes constitutes acceptance of the new Terms.

Commercial Co-Venturer Acknowledgment: You acknowledge that Goals Inc. operates as a commercial co-venturer under applicable state charitable solicitation laws, and that the company—not individual users—is the regulated party responsible for charitable donation compliance and tax reporting.

2. Eligibility and Account Requirements

Age Requirements

  • You must be at least 13 years old to use the Goals App

  • If you are between 13 and 18 years old (or the age of majority in your jurisdiction), your parent or guardian must review and agree to these Terms on your behalf

  • Parents and guardians are fully responsible for the acts and omissions of users under 18, including any breach of these Terms

Technical Requirements

  • You must have an Apple device running iOS (iPhone or iPad)

  • You must connect and maintain an active Apple HealthKit integration

  • You must have a partner to use the App (partner assignment is your responsibility)

  • You must agree to U.S. laws and policies, even if residing abroad

Account Responsibilities

  • You must provide accurate, current, and complete information during registration

  • You are responsible for maintaining the confidentiality of your account credentials

  • You must notify us immediately of any unauthorized use of your account

  • You may create only one account for your personal use and may not share your account with others

3. How Goals Works

Subscription Services

  • Goals operates as a paid subscription service with monthly and annual plans

  • Subscription provides access to the platform and goal-setting features

  • Goals begin on Mondays and may include a warm-up period

  • Partner matching is not guaranteed or facilitated by Goals Inc. - you must assign partners yourself

Apple HealthKit Integration

  • Goals connects exclusively to Apple HealthKit for fitness tracking

  • You must sync workouts and goal-related data through Apple Health

  • We access workout type, duration, distance, timestamps, and heart rate (if available)

  • We do not store Apple Health data in iCloud or any cloud storage other than as required for application functionality

  • We do not use your health data for advertising or data mining purposes

  • We do not share your health data with third parties without your explicit consent

Stakes and Accountability System

  • You must attach monetary stakes to your fitness goals

  • Stakes are only charged if and when you fail to complete your weekly goal

  • No upfront charges are made for stakes

  • Failed goal stakes are donated by Goals Inc. to charities you select from our approved list

  • Donations are made on a quarterly batch cadence

  • No refunds are issued for missed goals, failed syncs, or forfeited stakes

  • Goals takes a percentage fee of donated stakes to cover operating expenses and is subject to change at our discretion

4. Subscription Terms and Billing

Payment and Pricing

  • All strike payments are processed through Stripe outside of app store payment systems

  • Subscription fees are billed automatically at the start of each billing period through Apple

  • Subscriptions auto-renew until cancelled

  • We reserve the right to change pricing with reasonable advance notice

Cancellation

  • You may cancel your subscription at any time through the App settings

  • Cancellation takes effect at the end of your current billing cycle

  • Your account remains active as a free account after cancellation

  • No partial refunds are issued once a goal period has started

Free Trials (if offered)

  • Free trial terms will be clearly disclosed at signup

  • You will be automatically charged at the end of the trial period unless you cancel

  • You must cancel before the trial ends to avoid charges

5. User Communications and Content

In-App Messaging

  • You may message your assigned partner through our in-app chat

  • All messages must comply with our community guidelines

  • Harassment, spam, or inappropriate content may result in account suspension

User-Generated Content

  • You may upload photos, text, and other content to the App

  • You retain ownership of your content but grant us limited rights to use it for App functionality

  • We will not use your content for marketing without explicit opt-in consent

  • We reserve the right to remove content that violates our guidelines

6. Health and Fitness Disclaimers

Medical Disclaimer

IMPORTANT: Goals does not provide medical, fitness, or health advice. The App is for informational and motivational purposes only.

  • You must consult a healthcare provider before beginning any exercise program

  • Use of the App is entirely at your own risk

  • We are not liable for any health issues, injuries, or medical complications

  • This is particularly important if you have: chest pain, heart conditions, joint problems, take medications, have not been previously active, or experience dizziness

Data Accuracy Disclaimer

  • We are not liable for missing, delayed, or inaccurate data from Apple Health

  • Sync issues may occur due to Apple Health, device problems, or connectivity issues

  • You are responsible for ensuring valid tracking and setting accurate goals

  • Contact support for sync issues, but we cannot guarantee resolution

7. Financial Stakes and Charitable Donations

Stakes Characterization

  • Stakes are voluntary monetary commitments that you attach to your fitness goals

  • Forfeited stakes constitute contingent service fees paid to Goals Inc. for accountability services, not direct charitable contributions by users

  • Stakes are only charged when you fail to meet your weekly goal commitment

  • All stake payments are final and non-refundable

Corporate Donation Authority

  • Goals Inc., as a Delaware C-corporation, has statutory authority under Delaware General Corporation Law Section 122(9) to make charitable donations for public welfare purposes

  • All donations are made by Goals Inc. as the corporate donor, not by individual users

Quarterly Donation Process

  • Goals Inc. donates forfeited stakes to IRS-qualified 501(c)(3) charitable organizations on a quarterly batch cadence

  • You may select recipient charities from our pre-approved list

  • Quarterly donations are processed following board resolution approval and proper corporate governance procedures

  • Corporate tax deductions are limited to 10% of Goals Inc.'s annual taxable income, with excess contributions carried forward for up to five years

Tax Treatment and User Implications

  • You will not receive charitable tax deduction receipts as Goals Inc. is the legal donor of record

  • Users cannot claim charitable deductions for forfeited stakes donated by the corporation

  • All tax benefits from charitable donations accrue to Goals Inc. as the donating entity

  • Stakes forfeited due to technical issues are not refunded

Commercial Co-Venturer Registration Timeline

  • Goals Inc. will complete required commercial co-venturer registrations in Alabama, California, Connecticut, Massachusetts, New Hampshire, New York, and South Carolina if and when required.

Record-Keeping and Compliance

  • Goals Inc. maintains comprehensive financial records of all stakes and donations for a minimum of six years

  • Annual financial reports will be provided to charity partners and regulatory authorities as required

  • All donations require written acknowledgment from recipient organizations for amounts exceeding $250

8. Payment Processing and Financial Compliance

Stripe Integration

  • All payments are processed through Stripe Payments Company outside of app store payment systems

  • We store only Stripe customer tokens, not full payment information

  • See Stripe's privacy policy for detailed payment data handling procedures

KYC/AML Compliance

  • While Stripe handles payment card processing compliance, Goals Inc. remains responsible for monitoring suspicious transaction patterns

  • We reserve the right to request additional identity verification for users with high-value stakes or unusual transaction patterns

  • All financial transactions are subject to applicable federal and state anti-money laundering regulations

9. Third-Party Services and Limitations

Service Dependencies
 Goals relies on third-party services including:

  • Apple HealthKit for fitness data collection and synchronization

  • Stripe for payment processing and financial compliance

  • Supabase for authentication and backend services

  • Analytics platforms (PostHog, Mixpanel, or equivalent) for usage tracking

Third-Party Liability Limitations

  • We are not liable for outages, data mismatches, or failures of third-party services

  • You are responsible for maintaining app updates and connection integrity

  • Service interruptions may affect goal tracking and partner communications

10. Intellectual Property

Our Rights

  • The Goals App, including its design, features, and content, is our intellectual property

  • You may not copy, modify, distribute, or create derivative works

  • All trademarks, logos, and service marks are our property or used with permission

Your License

  • We grant you a limited, non-exclusive, non-transferable license to use the App

  • This license terminates when you stop using the App or these Terms end

  • You may not reverse engineer, decompile, or attempt to extract source code

11. Privacy and Data Protection

Data Collection
 We collect:

  • Account information (name, email, password)

  • Apple Health fitness data (as described above)

  • Payment metadata through Stripe

  • Device information and usage analytics

  • Chat messages with your partner

Data Use

  • We use data to provide core App functionality

  • Analytics help us improve the product

  • We do not sell user data to third parties

  • Health data is used only for goal verification and accountability features

Data Rights

  • You may request access, correction, or deletion of your data

  • Data is retained for 12 months after account deletion

  • International users: data may be processed in the United States

12. Prohibited Conduct

You may not:

  • Use the App for any illegal purpose

  • Harass, abuse, or harm other users

  • Attempt to hack, interfere with, or disrupt the App

  • Create false accounts or misrepresent your identity

  • Use automated tools to access the App

  • Violate any applicable laws or regulations

13. Disclaimers and Limitations of Liability

App Availability

  • THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND

  • We do not guarantee uninterrupted or error-free service

  • App performance may be affected by device, internet, or third-party service issues

Limitation of Liability

  • TO THE FULLEST EXTENT PERMITTED BY LAW, GOALS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

  • Our total liability shall not exceed the amount you paid for the App in the 12 months prior to the claim

  • Some jurisdictions do not allow liability limitations, so these may not apply to you

Health and Safety

  • You acknowledge that fitness activities involve inherent risks

  • We are not responsible for any injuries, health issues, or medical emergencies

  • Always prioritize your safety and consult healthcare providers as needed

14. Dispute Resolution and Governing Law

Dual Governing Law Structure

  • These Terms are governed by the laws of Texas, United States, for dispute resolution and arbitration procedures

  • Corporate authority for charitable donations is governed by Delaware General Corporation Law, specifically Section 122(9)

Binding Arbitration

  • Any dispute arising from these Terms or the App must be resolved through binding arbitration in Texas, not through courts

  • Arbitration procedures shall comply with current American Arbitration Association consumer rules

Class Action Waiver

  • You agree to resolve disputes individually and waive any right to participate in class action lawsuits

Exceptions
 The arbitration requirement does not apply to:

  • Small claims court proceedings

  • Intellectual property disputes

  • Emergency relief requests

15. Account Termination

Your Right to Terminate

  • You may delete your account at any time through the App

  • Account deletion removes personal data within 24 hours

  • Backup data is purged within 30 days

Our Right to Terminate
 We may suspend or terminate your account if you:

  • Violate these Terms

  • Engage in fraudulent activity

  • Abuse other users or our support team

  • Fail to pay subscription fees

Effect of Termination

  • Your right to use the App ends immediately

  • Outstanding financial obligations remain due

  • Certain provisions of these Terms survive termination

16. Apple App Store Terms

Apple Requirements

  • These Terms are between you and Goals Inc., not Apple

  • Apple is not responsible for the App or these Terms

  • Apple has no obligation to provide support for the App

  • Any claims must be directed to Goals Inc., not Apple

Device Requirements

  • The App requires compatible Apple hardware and software

  • You are responsible for device updates and compatibility

  • App performance may vary based on device specifications

17. Miscellaneous

  • Entire Agreement
     These Terms constitute the complete agreement between you and Goals Inc. regarding the App.

  • Severability
     If any provision is found unenforceable, the remaining provisions remain in full effect.

  • No Waiver
     Our failure to enforce any provision does not waive our right to enforce it later.

  • Force Majeure
     We are not liable for delays or failures due to circumstances beyond our reasonable control.

  • Updates to Terms
     Material changes will be posted in the App with reasonable notice. Continued use indicates acceptance.
